• Your Account: UWR has sole discretion to approve or deny account registration. You are responsible for your account's security and all activities under it.
• Your Responsibilities: You must comply with all applicable laws, User Guidelines, Program Manuals, and Standards. You act as a principal unless you have provided proof of your regulated status as a broker or aggregator.
• Our Role: UWR is a record-keeper and service provider. We do not guarantee the title, quality, or environmental benefit of any Rainwater Offset Credit (RoU). You use the registry and rely on its content at your own risk.
• Liability: As a voluntary user of this private program, you acknowledge that UWR's liability is limited to the maximum extent permitted by law.
• Indemnification: You agree to compensate and hold UWR harmless from any claims or losses arising from your breach of these terms, your use of the registry, or your RoUs. You also agree to indemnify, defend, and hold harmless UWR, its Related Bodies Corporate, and their respective officers, directors, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
  • the User's breach of these Terms and Conditions, the User Guidelines, or any applicable Standard;
  • the User's infringement of any third-party right, including Intellectual Property Rights;
  • any claim that RoUs listed, held, or transferred by the User caused damage to a third party or involved a misrepresentation; and
  • the User's negligence or wilful misconduct.
• Termination: We may suspend or terminate your account for breach of these terms, illegal activity, or to protect the registry's integrity.
• Governing Law: These Terms are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts in Vadodara, Gujarat.
• Changes to Terms: UWR may update these Terms and Conditions from time to time. The latest version will always be posted on our website. Your continued use of the UWR after changes are posted constitutes your acceptance of the updated terms.
